1. Purpose of the Agreement
This agreement outlines the rights and responsibilities of merchants participating in the SurpPass pilot program.
2. Pilot Test Period
The pilot test period begins on the date the merchant registers for the SurpPass app and lasts for 6 months:
- The first 3 months will be the Basic Plan
- The following 3 months will be the Premium Plan (includes all paid features)
3. Merchant Participation Terms
As a participating merchant, you agree to:
- Join the SurpPass pilot program free of charge
- Receive a merchant introduction package
- Access promotional materials and app assets
- Receive onboarding support
- Free access to SurpPass pilot system (e.g. blind box sales, customer tools)
- Agree to complete feedback surveys or participate in short interviews
- Authorize SurpPass to use anonymized feedback/data for improvement and reporting
- Priority access to promotion and cooperation benefits after launch
4. Data protection and privacy
All data will be used strictly for product development and IMDA-related submissions.
Merchant information will not be used for marketing or commercial purposes without consent.
5. Merchant Confidentiality Obligations
As a participating merchant, you agree to:
- The Merchant understands and agrees that, as a participant in the SurpPass internal testing program, they may have access to confidential and unpublished information such as features, designs, pricing strategies, or technical solutions. The Merchant shall keep such information strictly confidential and not disclose or disseminate it to any third party without prior written consent from SurpPass.
- The Merchant is responsible for ensuring that its employees, agents, or any individuals involved in the test and exposed to such information also comply with the same confidentiality obligations. Any breach may result in immediate termination of cooperation and SurpPass reserves the right to pursue legal remedies.
6. Reference to Additional Terms
The Merchant acknowledges and agrees that this Merchant Pilot Participation Agreement governs the cooperation during the SurpPass pilot phase. In addition, The Merchant agrees to comply with SurpPass's general terms and policies published on its official website (http://www.surppass.com), including but not limited to the Privacy Policy, Terms of Service, and other related terms.
7. Effective Date
This agreement takes effect on the date of signature and is binding on both parties.
